Magnolia Oil & Gas has entered into an agreement to acquire privately held WildFire Energy in a transaction valued at approximately $4.06 billion, including assumed debt. The acquisition significantly expands Magnolia’s footprint in the Giddings area of South Texas, adding approximately 810,000 net acres across the Eagle Ford Shale and Austin Chalk. Upon closing, Magnolia’s combined position will exceed 1.25 million net acres, making it one of the largest operators in the region.

The acquired assets currently produce approximately 53,000 barrels of oil equivalent per day (BOE/d), with crude oil representing roughly 70% of production. The transaction also includes strategic infrastructure, including a sand mine that supplies about 80% of Magnolia’s annual sand requirements and more than 500 miles of natural gas gathering pipelines. Magnolia expects the combination to create operational efficiencies through longer horizontal laterals, shared infrastructure, improved drilling and completion practices, and lower supply chain costs.
The purchase will be funded through a combination of 32.2 million newly issued Magnolia Class A shares, the assumption of $600 million in existing WildFire debt, cash on hand, and additional financing. Magnolia has expanded its revolving credit facility to a $2 billion borrowing base to support the transaction. The company expects annual run-rate synergies to exceed $100 million by the end of 2027, with an estimated net present value of approximately $700 million. Closing is expected during late third quarter (Q3) 2026, subject to customary conditions.
For oilfield service companies, drilling contractors, equipment suppliers, and midstream providers, the acquisition consolidates activity under a larger operator with an expanded development inventory in one of the most active oil-producing regions in Texas. Companies supporting drilling, completions, production optimization, pipeline services, sand logistics, and field infrastructure should monitor Magnolia’s future capital plans as integration progresses.
