Comstock Secures $2.1B to Accelerate Haynesville Development

Comstock Resources has announced two transactions totaling approximately $2.1 billion that strengthen its balance sheet and provide substantial outside capital for continued development of its Haynesville natural gas position. Under a proposed $1.65 billion strategic partnership with SOCAR, the State Oil Company of the Azerbaijan Republic, SOCAR would acquire minority non-operated interests in Comstock’s Legacy Haynesville, Western Haynesville and Pinnacle Gas Services assets. Comstock will remain operator and retain control of both its upstream development program and midstream operations.

The SOCAR transaction includes 20% of Comstock’s interest in its Legacy Haynesville assets, 15% of its Western Haynesville interest and 15% of Comstock’s 73% ownership interest in Pinnacle Gas Services. The Western Haynesville interest is structured to decline to 7.5% after five years and once SOCAR achieves a 15% return. Comstock expects to use the cash proceeds primarily to reduce net debt from approximately $3.1 billion to $1.5 billion. The companies are targeting a definitive agreement by October 31, 2026, with closing targeted by year-end, subject to negotiations and required approvals.

At the same time, Comstock has entered a separate $450 million drilling joint venture with a partnership owned by the Jerry Jones family. Beginning September 1, the venture will fund 85% of drilling and completion costs for 18 Western Haynesville wells and 80% of the costs for nine Legacy Haynesville wells over the next 12 months. The 27-well program provides a visible near-term development pipeline while reducing the amount of capital Comstock must fund directly.

The transactions are particularly important for Comstock’s 545,000 net acres in the Western Haynesville, where the company continues to delineate and develop a large natural gas resource. New production will also support throughput for Pinnacle Gas Services. SOCAR adds another strategic dimension by potentially connecting Comstock’s Gulf Coast-oriented natural gas resource with international gas and liquefied natural gas (LNG) markets.

Industry Impact

The investment highlights the strategic value being placed on U.S. natural gas resources located near Gulf Coast demand and LNG infrastructure. The U.S. “Safe Barrel” — and increasingly “safe molecule” — advantage is based on large domestic resources, established infrastructure, private-sector investment and proximity to growing power generation, data center and export demand. Rather than slowing development to preserve its balance sheet, Comstock is bringing in outside capital while retaining operatorship, allowing development activity to continue with lower financial leverage.

OFS Sales Strategy

For oilfield service (OFS) companies, the most actionable part of the announcement is the 27-well drilling and completion program beginning immediately and running over the next 12 months. Suppliers should prioritize Comstock’s Western Haynesville program and identify the drilling rigs, completion schedules and vendors associated with the 18 planned Western Haynesville wells.

The opportunity extends beyond drilling contractors. Target pressure pumping, wireline, directional drilling, drilling fluids, proppant, water management, chemicals, wellsite automation, production equipment, flowback and midstream infrastructure providers. Pinnacle Gas Services should also be monitored as additional Western Haynesville production could drive gathering, compression and related infrastructure requirements. The key sales trigger is not simply the $2.1 billion headline—it is that Comstock now has additional capital support to keep a sizeable multi-well development program moving.
